Compensation is as filed in Part VII: reportable pay from this organization and from related organizations, other compensation, and hours per week. The total, marked calculated, is our sum of the three dollar columns, with a blank column counted as $0; the form itself has no total. On a Form 990-EZ the columns are Part IV's instead, and on a Form 990-PF Part VIII's — compensation, contributions to benefit plans, and expense account — and the total sums those. A Schedule J breakdown is as filed: base pay, bonus, other, deferred compensation and nontaxable benefits from this organization, with any from related organizations beside each, and the filer's own total. It is shown with the Part VII listing of the same name on the same return. The form gives no key between the two, so that pairing is ours, and is marked matched by us.

The filer's explanations (Part III)

PART I, LINE 3
THE HOSPITAL USES THE FOLLOWING METHODS TO DETERMINE CEO COMPENSATION: COMPENSATION COMMITTEE, INDEPENDENT COMPENSATION CONSULTANTS, WRITTEN EMPLOYMENT CONTRACT (FROM PRIOR EMPLOYER), COMPENSATION SURVEY OR STUDY, AND APPROVAL BY THE BOARD OR COMPENSATION COMMITTEE. SOUTH NASSAU COMMUNITIES HOSPITAL HAS A COMPENSATION COMMITTEE (A SUB-COMMITTEE OF THE BOARD OF DIRECTORS) WHICH DETERMINES THE CHIEF EXECUTIVE OFFICER'S COMPENSATION. THE COMPENSATION COMMITTEE UTILIZES A VARIETY OF SOURCES IN DETERMINING THE OFFICER'S OVERALL COMPENSATION. THESE SOURCES INCLUDE A COMPENSATION STUDY PERFORMED EVERY TWO YEARS BY AN INDEPENDENT COMPENSATION CONSULTANT, COMPENSATION SURVEYS AND THE OFFICERS' HISTORICAL SALARIES. THE COMPENSATION CONSULTANT RENDERS AN OPINION AS TO WHETHER THE TOTAL PROPOSED COMPENSATION FOR THE OFFICER IS "REASONABLE" WITH RESPECT TO THE INTERNAL REVENUE SERVICE (IRS) INTERMEDIATE SANCTIONS REGULATIONS. THIS INDEPENDENT CONSULTANT UTILIZES PUBLISHED SURVEYS AND RELEVANT MARKET DATA TO DETERMINE RANGES FOR THE OFFICER'S SALARY TO REACH THEIR RECOMMENDATION.
PART I, LINES 4A-B
SCHEDULE J, PART I, LINE 4A: WILLIAM ALLISON, FORMER COO, RECEIVED A SEVERANCE IN 2023. SCHEDULE J, PART I, LINE 4B: THE DEAN, DR. DENNIS CHARNEY, WAS THE SOLE PARTICPANT IN THE ORGANIZATION'S SUPPLEMENTAL EXECUTIVE RETIREMENT PLAN ("SERP") AND WAS PAID OUT HIS ONE TIME SERP PAYMENT OF $3,000,000 IN 2023. THE BENEFITS EARNED UNDER THE SERP ARE DESIGNED TO FUND THE DEAN'S EVENTUAL RETIREMENT. THE DEAN HAS WORKED AT MOUNT SINAI FOR 20 YEARS; 17 YEARS AS DEAN. SENIOR EXECUTIVE POSITIONS, WHO ARE IMPACTED BY LIMITS UNDER THE HOSPITAL'S TAX-QUALIFIED RETIREMENT PLAN THAT DO NOT LIMIT OTHER EMPLOYEES, ALSO HAVE A SUPPLEMENTAL PLAN. THE SUPPLEMENTAL PLAN IS INTENDED ONLY TO MAKE UP FOR SUCH LIMITS AND CONTAINS VESTING SCHEDULES DESIGNED TO RETAIN THE EXECUTIVE UNTIL RETIREMENT. THE FOLLOWING INDIVIDUALS PARTICIPATED IN THIS PLAN IN 2023, WITH THE SUPPLEMENTAL RETIREMENT INCOME INCLUDED IN DEFERRED COMPENSATION IN SCHEDULE J, PART II, BOX C: JOHN POHLMAN - $9,576 DR ALAN WONG- $6,675
PART I, LINE 7
THE HOSPITAL MAINTAINS AN INCENTIVE COMPENSATION PROGRAM THAT PAYS VARIABLE COMPENSATION BASED ON THE SATISFACTION BY THE HOSPITAL AND THE EXECUTIVES OF PREESTABLISHED QUALITY OF CARE, PROGRAM, FINANCIAL AND SIMILAR GOALS ESTABLISHED AT THE BEGINNING OF THE YEAR PRIOR TO PAYMENT. SOME EMPLOYEES RECEIVE ADDITIONAL COMPENSATION BASED ON VARIOUS PRODUCTIVITY MEASURES. AWARDS ARE SET FORTH IN PART II, COLUMN B(II).
ADDITIONAL DISCLOSURE
THE COMPENSATION REPORTED ON BOTH PART VII AND SCHEDULE J OF THE FORM 990 FOR CERTAIN OFFICERS AND KEY PERSONNEL REPRESENTS AMOUNTS PAID FOR SERVICES RENDERED TO SOUTH NASSAU COMMUNITIES HOSPITAL ("SNCH") AND ITS AFFILIATED ORGANIZATIONS. THE FORM 990 REQUIRES COMPENSATION TO BE REPORTED BASED ON THE ORGANIZATION THAT PROVIDES THE OFFICER HIS OR HER W-2, HOWEVER, REPORTING COMPENSATION IN THIS FASHION DOES NOT TAKE INTO ACCOUNT THE INTEGRATED RELATIONSHIPS WITHIN A HEALTH SYSTEM THAT REQUIRE OFFICERS AND EMPLOYEES TO ALLOCATE THEIR TIME AND SERVICES AMONG MANY ORGANIZATIONS.

Part I's answers as filed. A line not listed was left unanswered; on lines 1a and 3 that means the box was not checked.
