Compensation is as filed in Part VII: reportable pay from this organization and from related organizations, other compensation, and hours per week. The total, marked calculated, is our sum of the three dollar columns, with a blank column counted as $0; the form itself has no total. On a Form 990-EZ the columns are Part IV's instead, and on a Form 990-PF Part VIII's — compensation, contributions to benefit plans, and expense account — and the total sums those. A Schedule J breakdown is as filed: base pay, bonus, other, deferred compensation and nontaxable benefits from this organization, with any from related organizations beside each, and the filer's own total. It is shown with the Part VII listing of the same name on the same return. The form gives no key between the two, so that pairing is ours, and is marked matched by us.

The filer's explanations (Part III)
- Schedule J, Part I, Line 1a First-class or charter travel
- UNDER HHMI POLICIES, HHMI REIMBURSES ITS TRUSTEES FOR THE REASONABLE COST OF AIRFARE ONE CLASS ABOVE ECONOMY/PREMIUM ECONOMY FOR DOMESTIC AND INTERNATIONAL FLIGHTS, AND ITS EMPLOYEES (INCLUDING ITS OFFICERS) FOR THE REASONABLE COST OF AIRFARE AT ONE CLASS ABOVE ECONOMY/PREMIUM ECONOMY FOR INTERNATIONAL TRIPS EXCEEDING SIX HOURS FLYING TIME AND RED-EYE FLIGHTS. IF A PARTICULAR AIRCRAFT DOES NOT HAVE A BUSINESS CLASS SECTION, ONE CLASS ABOVE ECONOMY/PREMIUM ECONOMY MAY BE FIRST CLASS. SUCH TRAVEL REIMBURSEMENTS ARE EXCLUDED FROM TAXABLE COMPENSATION IN ACCORDANCE WITH HHMI'S ACCOUNTABLE PLAN. DURING FISCAL YEAR 2025, 3 OFFICERS, 6 TRUSTEES, AND 2 HIGHEST COMPENSATED EMPLOYEES FLEW FIRST CLASS.
- Schedule J, Part I, Line 1a Housing allowance or residence for personal use
- HHMI'S PRESIDENT RESIDES IN AN HHMI-OWNED HOUSE ON THE HEADQUARTERS CAMPUS AND IS REQUIRED TO LIVE IN THIS RESIDENCE AS A CONDITION OF EMPLOYMENT. BECAUSE HHMI'S PRESIDENT IS ALSO REQUIRED TO SPEND TIME AT HHMI'S JANELIA CAMPUS, WHERE SHE RUNS A RESEARCH LABORATORY, ATTENDS MEETINGS, AND PARTICIPATES IN CONFERENCES, HHMI MAKES AN APARTMENT AVAILABLE TO HER AT THAT LOCATION. ADDITIONALLY, HHMI'S VICE PRESIDENT AND EXECUTIVE DIRECTOR, JANELIA RESEARCH CAMPUS, IS REQUIRED AS A CONDITION OF EMPLOYMENT TO RESIDE ON THE JANELIA CAMPUS IN HOUSING BUILT FOR THAT PURPOSE.
- Schedule J, Part I, Line 4b Supplemental nonqualified retirement plan
- THE INSTITUTE HAS ESTABLISHED A NONQUALIFIED DEFERRED COMPENSATION PLAN FOR ITS PRESIDENT AND ITS VP & GENERAL COUNSEL & SECRETARY. THE DEFERRED COMPENSATION PLANS HAVE BOTH A PERFORMANCE PERIOD AS WELL AS PERFORMANCE GOALS. THESE AMOUNTS ARE NOT YET VESTED AND ARE SUBJECT TO SUBSTANTIAL RISK OF FORFEITURE.
- Schedule J, Part I, Line 7 Non-fixed payments
- HHMI HAS AN INCENTIVE COMPENSATION PROGRAM FOR ITS INVESTMENT STAFF WHICH PROVIDES AN ANNUAL INCENTIVE AWARD THAT INCLUDES A QUANTITATIVE COMPONENT BASED ON PERFORMANCE OF HHMI'S PORTFOLIO AGAINST MARKET BENCHMARKS AND A DISCRETIONARY QUALITATIVE COMPONENT BASED ON INDIVIDUAL PERFORMANCE, INCLUDING ATTRIBUTES NOT DIRECTLY TIED TO PORTFOLIO PERFORMANCE. HHMI'S TRUSTEES APPROVED RETENTION PAYMENTS FOR CALENDAR 2024 IN LIEU OF PAYMENTS UNDER THE INCENTIVE COMPENSATION PROGRAM. EACH YEAR, THESE PAYMENTS ARE APPROVED BY THE TRUSTEES IN RELIANCE ON COMPARABILITY DATA AND A REASONABLENESS OPINION PROVIDED BY AN INDEPENDENT COMPENSATION CONSULTANT. HHMI ALSO MAKES ONE-TIME PAYMENTS TO SOME OF ITS OTHER EMPLOYEES, INCLUDING BUT NOT LIMITED TO OFFICERS, IN RECOGNITION OF EXCEPTIONAL PERFORMANCE.
- Schedule J, Part I, Line 8 Payments on contract that is subject to the initial contract exception
- WHEN RECRUITING INDIVIDUALS FOR HIGH-LEVEL POSITIONS, HHMI TYPICALLY ENTERS INTO INITIAL CONTRACTS. HHMI HAS ENTERED INTO INITIAL CONTRACTS WITH A NUMBER OF VICE PRESIDENTS. HHMI'S STANDARD PRACTICE IS TO HAVE INDEPENDENT COMPENSATION CONSULTANTS REGULARLY REVIEW AND CONFIRM THE REASONABLENESS OF COMPENSATION OF HHMI'S OFFICERS AND KEY EMPLOYEES, REGARDLESS OF WHETHER THE INITIAL CONTRACT EXCEPTION APPLIES.
Part I's answers as filed. A line not listed was left unanswered; on lines 1a and 3 that means the box was not checked.
