Mission and programs · 2022

Mission

CARDIOMETABOLIC CENTER ALLIANCE was formed on March 17, 2020, to further development of treatment for cardiometabolic disease, which can generally be described as a cluster of interrelated risk factors, including hypertension, elevated fasting blood sugar, dyslipidemia, abdominal obesity and elevated triglycerides, which can lead to heart disease and type 2 diabetes.

Activities or mission (Part I)

Further Development of Treatment for Cardiometabolic Disease

  • The Organization is an outgrowth of Saint Luke's Health System to address clinical care of patients suffering from cardiometabolic disease. The purpose of its program is to develop a comprehensive, collaborative approach to the treatment of this disease in lieu of what historically had been a fragmented and isolated approach across different specialties and fields. A key element of the program has been the development and maintenance of a data registry that tracks care and outcomes over time, and serves as the basis for the further development of recommended treatment protocols and strategies. The Organization is intended to be a national collaborative of providers and institutions committed to improving the quality of care and outcomes of patients with cardiometabolic disease by focusing on comprehensive risk reduction. The Organization's data registry will be valuable for outcomes measures, quality and process improvement, and research opportunities - both as real-world evidence and as a clinical trial platform.

    Expenses $1,304,889 · Revenue $213,687

Compensation is as filed in Part VII: reportable pay from this organization and from related organizations, other compensation, and hours per week. The total, marked calculated, is our sum of the three dollar columns, with a blank column counted as $0; the form itself has no total. On a Form 990-EZ the columns are Part IV's instead, and on a Form 990-PF Part VIII's — compensation, contributions to benefit plans, and expense account — and the total sums those. A Schedule J breakdown is as filed: base pay, bonus, other, deferred compensation and nontaxable benefits from this organization, with any from related organizations beside each, and the filer's own total. It is shown with the Part VII listing of the same name on the same return. The form gives no key between the two, so that pairing is ours, and is marked matched by us.

The filer's explanations (Part III)

Schedule J, Part I, Line 3 Arrangement used to establish the top management official's compensation
ANNUALLY, THE SAINT LUKE'S HEALTH SYSTEM BOARD OF DIRECTORS' COMPENSATION COMMITTEE REVIEWS, DISCUSSES, SETS AND APPROVES COMPENSATION FOR THE ORGANIZATION'S TOP MANAGEMENT EXECUTIVES. INDEPENDENT, EXTERNAL DIRECTORS SERVE ON THE COMPENSATION COMMITTEE. AN INDEPENDENT COMPENSATION CONSULTING FIRM ANNUALLY PROVIDES A WRITTEN REPORT AND REASONABLENESS OPINION. THE CONSULTANT REVIEWS THE SYSTEM'S EXECUTIVE COMPENSATION PHILOSOPHY AND ANALYZES MARKET COMPETITIVENESS (IN TOTAL AND BY EACH COMPENSATION AND BENEFIT ELEMENT) FOR THE EXECUTIVES USING APPROPRIATE COMPARABILITY DATA. COMPENSATION COMMITTEE ACTIONS ARE CONTEMPORANEOUSLY DOCUMENTED. THE PROCESS SATISFIES THE REBUTTABLE PRESUMPTION PROCEDURE. COMPENSATION FOR OFFICERS NOT REVIEWED BY THE COMPENSATION COMMITTEE IS SET/APPROVED ANNUALLY BY SAINT LUKE'S HEALTH SYSTEM EXECUTIVE MANAGEMENT BASED ON MARKET COMPENSATION SURVEYS AND COMPARABILITY DATA PROVIDED BY AN INDEPENDENT COMPENSATION CONSULTING FIRM.
Schedule J, Part II COMPENSATION FROM RELATED ORGANIZATIONS
DAPHNE BASCOM, JAN MURRAY, ALLISON TRIMBLE, AND CHRIS PERRYMAN DID NOT RECEIVE COMPENSATION FOR DUTIES AS A DIRECTOR OR OFFICER OF THE FILING ORGANIZATION BUT RECEIVED COMPENSATION FROM RELATED ORGANIZATIONS FOR SERVICES RENDERED TO THE RELATED ORGANIZATIONS. JANI JOHNSON, AMY NACHTIGAL, JANET GORDON, AND MIKHAIL KOSIBOROD RECEIVED COMPENSATION FROM A RELATED ORGANIZATION FOR SERVICES RENDERED TO THE FILING ORGANIZATION AND THE RELATED ORGANIZATION. THE RELATED ORGANIZATION HAS ADOPTED A MANAGEMENT INCENTIVE COMPENSATION PLAN FOR CERTAIN MEMBERS OF SENIOR AND MIDDLE MANAGEMENT TO PROMOTE EFFECTIVE MANAGEMENT OF OPERATIONS, QUALITY OF CARE AND SERVICE, AND OPTIMAL USE OF RESOURCES. THE INCENTIVES ARE CALCULATED AS A PERCENTAGE OF BASE SALARY CONTINGENT ON ACHIEVING QUALITY, PATIENT SATISFACTION, EMPLOYEE ENGAGEMENT, FINANCIAL AND OTHER OPERATIONAL PERFORMANCE TARGETS ESTABLISHED BY THE BOARD'S COMPENSATION COMMITTEE ON AN ANNUAL BASIS. INCENTIVE AWARDS ARE PAID AT THE DISCRETION OF THE BOARD OF DIRECTORS AND DO NOT ACCRUE TO THE BENEFIT OF THE INDIVIDUALS UNTIL AFTER FINANCIAL RESULTS HAVE BEEN DETERMINED FOR THE CALENDAR YEAR. THIS INCENTIVE COMPENSATION IS EVALUATED AS PART OF THE REVIEW OF MARKET COMPETITIVE DATA AND REASONABLENESS OF OVERALL COMPENSATION AND BENEFITS.
