Gateway Healthcare, Inc.'s (Gateway) Adult Services include an Adult Emergency Program that provides around-the-clock telephone and face-to-face crisis intervention services to adults and families experiencing an emotional crisis. A crisis hot line is staffed at all times by Master Level crisis clinicians who provide support and guidance to active consumers of Gateway's services or those needing help in accessing care. Face-to-face evaluation and crisis de-escalation are provided through a team of office-based, emergency department-based, and home-based clinicians who respond to calls for intervention statewide. In addition to crisis management, Gateway Emergency Services ensures that consumers in need of ongoing treatment gain access to treatment, or if they are medically or psychiatrically hospitalized, assists consumers with discharge planning and care coordination. Adult health home and rehabilitative treatment services provide community-based services through outreach efforts and support to adults aged 18 and older who live with severe and persistent mental illness in the community. The Adult Emergency Services Program is designed to help people reach a level of recovery that will allow them to lead productive, satisfactory, and independent lives. Services include supportive counseling, advocacy, encouragement and assistance in accessing resources, individual and family psychotherapy, substance abuse treatment, skill-building groups, rehabilitative services for social integration, vocational needs, educational goals, crisis intervention, nursing services, daily living skills training, evaluations of responses to treatment interventions, and ongoing assessments of needs. Substance abuse services include substance abuse education as well as individual, family, and group counseling in an office-based outpatient setting. Case management, outreach, and crisis intervention services are also provided. Psychiatric services and assessments are available, as well as medication-assisted therapy for people suffering from addiction or dealing with the effects of medications needed for treatment of co-occurring substance abuse and other emotional disorders.

Compensation is as filed in Part VII: reportable pay from this organization and from related organizations, other compensation, and hours per week. The total, marked calculated, is our sum of the three dollar columns, with a blank column counted as $0; the form itself has no total. On a Form 990-EZ the columns are Part IV's instead, and on a Form 990-PF Part VIII's — compensation, contributions to benefit plans, and expense account — and the total sums those. A Schedule J breakdown is as filed: base pay, bonus, other, deferred compensation and nontaxable benefits from this organization, with any from related organizations beside each, and the filer's own total. It is shown with the Part VII listing of the same name on the same return. The form gives no key between the two, so that pairing is ours, and is marked matched by us.

The filer's explanations (Part III)
- Schedule J, Part I, Line 1a
- Tax Indemnification and Gross Up Payments: The Brown Health Executive Long-Term Disability program provides financial protection to designated Lifespan executives in the event that they become disabled. Premiums are paid to the insurance carrier by the insureds on an after-tax basis to allow for income replacement at a reasonable cost. The income associated with the premiums is grossed up to cover the total cost of the benefit as provided in the Brown Health Executive Benefit Plan and is included in Medicare wages, more specifically on Schedule J, Part II, Column B (iii).
- Schedule J, Part I, Line 3
- Compensation of the Gateway President is determined by the Compensation Committee of Brown Health. This committee's determination process utilizes a combination of an independent compensation consultant, written employment contracts, and compensation studies/surveys, along with approval by the Brown Health Board of Directors.
- Schedule J, Part I, Line 4
- Line 4a: The following individual received severance and/or change of control payments during the calendar year ending December 31, 2024: Timothy J. Babineau, MD, former trustee: $1,335,765. Scott DiChristofero, former CFO: $173,077. Line 4b: Brown Health offers a non-qualified supplemental employee retirement plan (SERP) to certain executives. The following individuals were credited with the non-vested amounts indicated during calendar year 2024 and such amounts are included in deferred compensation on Schedule J, Part II, Column C: Paul J. Adler - $106,677. John Fernandez - $313,833. Eva Greenwood - $73,257. Henry T. Sachs III, MD - $2,986. In 2024, the following individuals became vested in and were paid a 2021 non-qualified supplemental employee retirement plan (SERP) amount and such amounts are included in Medicare wages, more specifically on Schedule J, Part II, Column B(iii): Paul J. Adler - $89,854. Peter K. Markell - $158,521. Henry T. Sachs III, MD - $59,524. Joan E. Salhany - $15,881. The portion of the above payments that was reported as deferred compensation in prior years is reflected on Schedule J, Part II, Column F. Participants included in Brown Health's SERP are awarded plan contributions on a quarterly basis. Contributions and interest earned during a plan year vest after three years and are paid to plan participants at that time. SERP payments earned during the calendar year which have not yet vested are disclosed on Schedule J, Part II, Column C. Vested SERP payments received during the year are disclosed on Schedule J, Part II, Column B(iii) (as well as Column F if reported on Schedule J, Part II, Column C of a previously filed Form 990). Plan contributions awarded to participants who have reached age 62 become vested as of the beginning of the following calendar year.
- Schedule J, Part I, Line 7
- Certain physicians and executives participate in incentive compensation plans arranged through individual contractual agreements which stipulate non-fixed payments based on meeting criteria comprised of various quality and productivity markers.
