Compensation is as filed in Part VII: reportable pay from this organization and from related organizations, other compensation, and hours per week. The total, marked calculated, is our sum of the three dollar columns, with a blank column counted as $0; the form itself has no total. On a Form 990-EZ the columns are Part IV's instead — compensation, contributions to benefit plans, and expense account — and the total sums those. A Schedule J breakdown is as filed: base pay, bonus, other, deferred compensation and nontaxable benefits from this organization, with any from related organizations beside each, and the filer's own total. It is shown with the Part VII listing of the same name on the same return. The form gives no key between the two, so that pairing is ours, and is marked matched by us.

- Schedule J, Part I, Line 3 Arrangement used to establish the top management official's compensation
- PEDIATRIC HEALTH MANAGEMENT SERVICES ("PHMS") HAS NO EMPLOYEES. THE PRESIDENT AND CHIEF EXECUTIVE OFFICER OF PHMS ("CEO") IS EMPLOYED BY AND COMPENSATED BY A RELATED ORGANIZATION, CHILDREN'S HEALTH SYSTEM OF TEXAS (CHST). IN HIS POSITION AS AN OFFICER OF PHMS, THE CEO HAS NO INFLUENCE OVER THE COMPENSATION PROVIDED BY CHST. THE PROCESS FOR DETERMINING THE CEO'S COMPENSATION IS AS FOLLOWS: THE EXECUTIVE COMPENSATION COMMITTEE (THE "COMMITTEE") OF THE BOARD OF DIRECTORS OF PHMS IS RESPONSIBLE FOR SETTING THE COMPENSATION FOR THE PHMS CEO. THE COMMITTEE IS COMPRISED OF INDEPENDENT, NONEMPLOYEE DIRECTORS. A WRITTEN COMPENSATION PHILOSOPHY HAS BEEN DEVELOPED BY THE EXECUTIVE COMPENSATION COMMITTEE THAT DEFINES THE DESIRED PEER GROUPS FOR COMPENSATION BENCHMARKING AND GUIDES DECISIONS. THE EXECUTIVE COMPENSATION COMMITTEE ENGAGES THE SERVICES OF AN INDEPENDENT EXECUTIVE COMPENSATION CONSULTANT TO PROVIDE MARKET DATA AND GUIDANCE ON GOVERNANCE AND COMPLIANCE MATTERS. COMPENSATION PROGRAM COMPONENTS: THE ELEMENTS OF TOTAL COMPENSATION PROVIDED TO PHMS EXECUTIVES INCLUDE: - CASH COMPENSATION (I.E., BASE SALARY, ANNUAL INCENTIVE COMPENSATION, AND/OR OTHER CASH COMPENSATION); DETERMINED IN CONSIDERATION OF COMPETITIVE MARKET PRACTICES, ORGANIZATIONAL AND INDIVIDUAL PERFORMANCE, RECRUITMENT AND RETENTION CONSIDERATIONS, AND OTHER RELEVANT FACTORS. - STANDARD BENEFITS, INCLUDING MEDICAL, DENTAL, DISABILITY AND LIFE INSURANCE; AND - QUALIFIED AND NONQUALIFIED RETIREMENT PLANS CONSISTENT WITH PEER HEALTH CARE ORGANIZATION PRACTICES. PEER GROUP REVIEW: THE COMMITTEE HAS DEFINED ITS PEER GROUP FOR EXECUTIVE COMPENSATION AS NOT-FOR-PROFIT HEALTH CARE ORGANIZATIONS SIMILAR IN SIZE, STRUCTURE, AND COMPLEXITY. EXECUTIVE COMPENSATION MARKET DATA ARE PROVIDED BY AN INDEPENDENT CONSULTANT IN A MANNER CONSISTENT WITH THE IRS INTERMEDIATE SANCTIONS RULES OF FEDERAL TAX LAW, TO REFLECT WHAT IS DINARILY PAID TO LIKE EXECUTIVES BY LIKE ENTERPRISES UNDER LIKE CIRCUMSTANCES". THE COMMITTEE'S COMPENSATION AND BENEFITS DECISIONS ARE MADE IN CONSIDERATION OF THE SCOPE OF RESPONSIBILITY, SKILLS, PERFORMANCE AND EXPERIENCE IN RELATION TO DOCUMENTED PRACTICES WITHIN THE APPROPRIATE PEER GROUP.
- Schedule J, Part I, Line 4b Supplemental nonqualified retirement plan
- EXECUTIVE DEFINED CONTRIBUTION RETIREMENT PLAN (EDCRP): EMPLOYEES WHO RECEIVED TAXABLE INCOME FROM THE EDCRP INCLUDE: JOHN BRENNAN - $549,919
Part I's answers as filed. A line not listed was left unanswered; on lines 1a and 3 that means the box was not checked.
