Compensation is as filed in Part VII: reportable pay from this organization and from related organizations, other compensation, and hours per week. The total, marked calculated, is our sum of the three dollar columns, with a blank column counted as $0; the form itself has no total. On a Form 990-EZ the columns are Part IV's instead, and on a Form 990-PF Part VIII's — compensation, contributions to benefit plans, and expense account — and the total sums those. A Schedule J breakdown is as filed: base pay, bonus, other, deferred compensation and nontaxable benefits from this organization, with any from related organizations beside each, and the filer's own total. It is shown with the Part VII listing of the same name on the same return. The form gives no key between the two, so that pairing is ours, and is marked matched by us.

The filer's explanations (Part III)
- Schedule J, Part I, Line 1a Tax indemnification and gross-up payments
- The Brown Health Executive Long-Term Disability program provides financial protection to designated Brown Health executives in the event that they become disabled. Premiums are paid to the insurance carrier by the insureds on an after-tax basis to allow for income replacement at a reasonable cost. The income associated with the premiums is grossed up to cover the total cost of the benefit as provided in the Brown Health Executive Benefit Plan and is included in Medicare wages, more specifically on Schedule J, Part II, Column B (iii).
- Schedule J, Part I, Line 1a Health or social club dues or initiation fees
- The job responsibilities of certain executives include development of relationships with business leaders and donors. Those relationships are facilitated by the ability to meet in private sessions during which focused business discussions take place. The University Club, which requires an individual membership, is a place in Providence, Rhode Island where businessmen and women, civic, community, and social leaders can gather in a businesslike atmosphere. The cost of membership is considered by Brown Health to be reasonable and necessary and thus a qualified business expense not taxable to the employee. IRS regulations regarding documentation requirements are followed for any payments made for meetings held at the respective club, including the business purpose and nature of the business benefit derived; the nature of the business discussion or activity; and the identity of the and business relationship of attendees.
- Schedule J, Part I, Line 1a Personal services
- Certain executives and management personnel received financial planning services paid for by Brown Health. In calendar year 2023 Brown Health provided this benefit to two executives disclosed in this return. The taxable amounts paid for this benefit is included in Medicare wages, more specifically on Schedule J, Part II, Column B (iii).
- Schedule J, Part I, Line 4a Severance or change-of-control payment

Todd A. Conklin, Former Key Employee: $116,826. David A. Kirshner, former EVP & CFO: $135,501. Saul N. Weingart, President - RIH: $385,347.
- Schedule J, Part I, Line 4b Supplemental nonqualified retirement plan
- Brown Health offers a non-qualified supplemental employee retirement plan (SERP) to certain executives. The following individuals were credited with the non-vested amounts indicated during calendar year 2023 and such amounts are included in deferred compensation on Schedule J, Part II, Column C: Paul J. Adler - $102,010. Crista F. Durand - $68,761. John Fernandez - $280,199. Eva Greenwood - $66,165. G. Alan Kurose, MD - $1,065. Cedric J. Priebe - $91,657. William Schmiedeknecht - $73,168. Maria P. Contributions and interest earned during a plan year vest after three years and are paid to plan participants at that time. SERP payments earned during the calendar year which have not yet vested are disclosed on Schedule J, Part II, Column C. Vested SERP payments received during the year are disclosed on Schedule J, Part II, Column B(iii) (as well as Column F if reported on Schedule J, Part II, Column C of a previously filed Form 990).
