Compensation is as filed in Part VII: reportable pay from this organization and from related organizations, other compensation, and hours per week. The total, marked calculated, is our sum of the three dollar columns, with a blank column counted as $0; the form itself has no total. On a Form 990-EZ the columns are Part IV's instead — compensation, contributions to benefit plans, and expense account — and the total sums those. A Schedule J breakdown is as filed: base pay, bonus, other, deferred compensation and nontaxable benefits from this organization, with any from related organizations beside each, and the filer's own total. It is shown with the Part VII listing of the same name on the same return. The form gives no key between the two, so that pairing is ours, and is marked matched by us.

The filer's explanations (Part III)

PART I, LINE 1A
AIR AUTHORIZES THE USE OF FIRST-CLASS TRAVEL FOR PERSONS LISTED ON PART VII, SECTION A, LINE 1A. WHEN SUPPORTED BY A MEDICAL PURPOSE OR BUSINESS NEED. AIR LIMITS THE USE OF CORPORATE CREDIT CARDS BY EMPLOYEES THAT CREATE DIRECT LIABILITY TO THE ORGANIZATION. CHARGES ON CREDIT CARDS ARE SUBJECT TO LIMITS. CHARGES ON CARDS WITH CORPORATE LIABILITY ARE REVIEWED AND RECONCILED REGULARLY FOR APPROPRIATENESS OF THE BUSINESS PURPOSE. OCCASIONAL, INFREQUENT USES FOR PERSONAL PURPOSES ARE DE MINIMIS AND REPORTED AS TAXABLE INCOME TO THE PERSONS IF NOT OTHERWISE REIMBURSED. WITH RARE FREQUENCY, TRAVEL MAY BE PROCURED FOR, AND REIMBURSED BY, COMPANIONS.
PART I, LINES 4A-B
CERTAIN ELIGIBLE SENIOR EXECUTIVES PARTICIPATE IN A NON-QUALIFIED COMPENSATION PLAN PURSUANT TO ADVANCE APPROVAL BY THE COMPENSATION COMMITTEE OF THE BOARD. THE PLAN PROVIDES THE PARTICIPANTS WITH THE ABILITY TO EARN THE EQUIVALENT OF THE ANNUAL RETIREMENT CONTRIBUTION THAT WOULD HAVE BEEN RECEIVED HAD THEIR PARTICIPATION IN AIR'S DEFINED CONTRIBUTION PLAN NOT BEEN STATUTORILY LIMITED. CERTAIN CONTRIBUTIONS TO THE NON-QUALIFIED COMPENSATION PLAN ARE SUBJECT TO VESTING PROVISIONS THAT ALSO SERVE TO DEFER PAYMENT AND INCENT THE EXECUTIVES' RETENTION.
PART I, LINE 7
IN ADDITION TO BASE SALARY, AIR ADMINISTERS A BONUS PLAN, APPROVED ANNUALLY BY THE INDEPENDENT BOARD OF DIRECTORS, THAT USES VARIABLE COMPENSATION TO RECOGNIZE NON-OFFICER AND OFFICER EMPLOYEES FOR EXCEPTIONAL CONTRIBUTION TO OVERALL ORGANIZATIONAL PERFORMANCE. THE BONUS PLAN FOR CERTAIN OFFICER AND KEY EMPLOYEE ROLES IS BASED ON PERFORMANCE AS MEASURED AGAINST PREVIOUSLY ESTABLISHED GOALS. ALL EMPLOYEES ARE ALSO ELIGIBLE TO EARN VARIABLE COMPENSATION. INDEPENDENT DIRECTORS OF THE BOARD DO NOT PARTICIPATE IN BONUS OR INCENTIVE PLANS.
SCHEDULE J, PART II, COLUMN B, C & D:
ADDITIONAL INFORMATION ABOUT COMPENSATION REPORTED IN COLUMN B(III) INCLUDES THE FOLLOWING: SCHEDULE J, PART I, LINE 4B REFLECTS THE FOLLOWING: PAYMENTS IN 2023 OF: $523,361 TO DAVID MYERS, $90,382 TO MARIJO AHLGRIMM, $120,700 TO DWAYNE NORRIS, $50,000 TO TIMOTHY HILL, $100,000 TO DAVID SEIDENFELD, AND $15,000 TO SUSAN BASEMAN MADE PURSUANT TO FULLY VESTED TERMS OF APPLICABLE EMPLOYMENT AGREEMENTS. DEFERRED COMPENSATION PAYMENTS IN 2023 OF $78,031 FOR DWAYNE NORRIS. EFFECTIVE IN 2023 AIR ADDED A NEW BENEFIT, RETIREMENT TRANSITION BENEFIT PAYMENT.
