THE 92ND STREET Y PROVIDES BONUSES TO THE INDIVIDUALS REPORTED ON FORM 990, SCHEDULE J AND OCCASIONALLY TO OTHER MEMBERS OF STAFF BASED ON MEETING CERTAIN PERFORMANCE BASED OBJECTIVE METRICS, ESTABLISHED BY THE SENIOR MANAGEMENT TEAM. THE CEO'S BONUS IS BASED ON MUTUALLY AGREED STATEMENT OF GOALS AND OBJECTIVES AND IS PAYABLE AT THE SOLE AND ABSOLUTE DISCRETION OF THE BOARD OF DIRECTORS, BASED ON THE ATTAINMENT OF THE AGREED UPON GOALS, AS WELL AS OTHER SUCH FACTORS AS THE BOARD MAY CONSIDER AT ITS SOLE AND ABSOLUTE DISCRETION. ALL OTHER MANAGEMENT BONUSES ARE PAID AT THE DISCRETION OF THE CEO.
