IN 2022, NYGC'S SCIENTIFIC DIRECTOR & CEO WAS EMPLOYED BY AN UNRELATED ENTITY AND LEASED TO NYGC TO DEVOTE 80% OF HIS TIME AND EFFORT TO SERVING AS NYGC'S SCIENTIFIC DIRECTOR & CEO, AN OFFICER OF THE CORPORATION AND AS A SENIOR ASSOCIATE MEMBER OF NYGC'S FACULTY. HE OVERSAW NYGC'S RESEARCH PROGRAM AND UNDERTOOK OTHER ACTIVITIES AS NYGC'S BOARD OF DIRECTORS REQUESTED FROM TIME TO TIME. THE SCIENTIFIC DIRECTOR & CEO DEVOTED 20% OF HIS TIME TO HIS DUTIES AT THE UNRELATED ENTITY, WHERE HE MAINTAINS A LABORATORY AND CONDUCTS INDEPENDENT, INVESTIGATOR-INITIATED RESEARCH PROJECTS. IN 2022, NYGC HIRED AN INDEPENDENT COMPENSATION CONSULTANT TO PERFORM AN EXECUTIVE TOTAL COMPENSATION STUDY OF SENIOR MANAGEMENT'S COMPENSATION, INCLUDING THE SCIENTIFIC DIRECTOR & CEO. THE REVIEW SHOWED THAT THE COMPENSATION PAID TO ALL MEMBERS OF SENIOR MANAGEMENT, INCLUDING THE SCIENTIFIC DIRECTOR & CEO, WAS REASONABLE.
