PART I, LINE 3 - ADDITIONAL INFORMATION REGARDING COMPENSATION DATA:
THE COMPENSATION OF THE EXECUTIVE DIRECTOR IS DETERMINED ANNUALLY BY THE FOUNDATION'S SOLE MEMBER IN CONSULTATION WITH THE BOARD AS WARRANTED AND CONSISTENT WITH THE ANNUAL BUDGET APPROVED BY THE BOARD AND SOLE MEMBER WHICH INCLUDES SALARY ADJUSTMENTS FOR ALL POSITIONS INCLUDING THE EXECUTIVE DIRECTOR. IN 2016, A SPECIAL COMMITTEE OF THE FOUNDATION'S BOARD OF DIRECTORS REVIEWED THE EXECUTIVE DIRECTOR'S COMPENSATION IN COMPARISION TO THE COMPENSATION OF EXECUTIVES OF OTHER LOCAL NOT-FOR-PROFIT ORGANIZATIONS OF SIMILAR SIZE AND STRUCTURE. IN 2018 AND 2021, THE DIOCESE OF CLEVELAND COMPLETED A COMPENSATION BENCHMARKING STUDY THAT INCLUDED THE FOUNDATION'S EXECUTIVE DIRECTOR POSITION. ALL MEMBERS OF THE 2016 SPECIAL COMMITTEE OF THE BOARD WERE INDEPENDENT OF THE EXECUTIVE DIRECTOR, AND THE DIOCESE'S COMPENSATION BENCHMARKING STUDIES IN 2018 AND 2021 WERE COMPLETED BY PEOPLE WHO ALL WERE INDEPENDENT OF THE EXECUTIVE DIRECTOR.
