IN DETERMINING COMPENSATION FOR THE ORGANIZATION'S CEO, OFFICERS, AND TOP MANAGEMENT, THE ORGANIZATION TAKES INTO CONSIDERATION AND RELIES ON A MATRIX PROVIDED BY THE BOYS AND GIRLS CLUB OF AMERICA, WHICH SHOWS HIGH AND LOW SALARY RANGES AND COMPARABILITY RATINGS AS TO SIZE, MARKET CONDITIONS, AND ENGAGES IN CONSULTATION WITH OTHER CLUBS IN THE REGION. THE REVIEWS ARE DONE ANNUALLY - MOST RECENT WAS JANUARY 2025. THE PROCESS IS AS FOLLOWS: 1.) THE EXECUTIVE COMMITTEE MEETS WITHOUT THE CEO TO REVIEW THE GOALS SET FOR THE CEO FOR THE YEAR. THEY USE THIS DOCUMENT TO SCORE THE CEO'S PERFORMANCE. 2.) THE EXECUTIVE COMMITTEE USES THE CHART OF COMPARABLE SALARIES PROVIDED BY BOYS & GIRLS CLUBS OF AMERICA BROKEN DOWN BY REGION AND BUDGET SIZE TO DETERMINE COMPENSATION CHANGES. 3.) THE PROPOSED COMPENSATION CHANGES ARE RATIFIED BY THE BOARD OF DIRECTORS THOUGH A PROXY VOTE.
