THE EXECUTIVE DIRECTOR, CRAIG ARNOLD, PROVIDES MANAGEMENT AND ADMINISTRATIVE SERVICES TO DAKOTA BIOWORX THROUGH HIS CONSULTING FIRM, 42 NORTH LLC, UNDER AN INDEPENDENT CONTRACTOR AGREEMENT. ALL AMOUNTS REPORTED ON FORM 990, PART VII, SECTION A REPRESENT PAYMENTS TO 42 NORTH LLC FOR THOSE SERVICES, NOT DIRECT WAGES TO MR. ARNOLD. NO BONUSES, INCENTIVE COMPENSATION, OR OTHER NON-FIXED BENEFITS WERE PROVIDED. THE COMPENSATION WAS DETERMINED AND APPROVED BY THE BOARD BASED ON THE MANAGEMENT AGREEMENT IN PLACE.
