Compensation is as filed in Part VII: reportable pay from this organization and from related organizations, other compensation, and hours per week. The total, marked calculated, is our sum of the three dollar columns, with a blank column counted as $0; the form itself has no total. On a Form 990-EZ the columns are Part IV's instead, and on a Form 990-PF Part VIII's — compensation, contributions to benefit plans, and expense account — and the total sums those. A Schedule J breakdown is as filed: base pay, bonus, other, deferred compensation and nontaxable benefits from this organization, with any from related organizations beside each, and the filer's own total. It is shown with the Part VII listing of the same name on the same return. The form gives no key between the two, so that pairing is ours, and is marked matched by us.

The filer's explanations (Part III)
- Part I, Lines 4a-b
- Schedule J, Line 4a, Severance Payments: Sherry Hausmann served the Organization as its President & CEO in a previous tax year. William Lewkowski served the Organization as its Chief Information Officer in a previous tax year. As both Ms. Hausmann and Mr. Lewkowski ended their terms of service in a previous tax year, they have been deemed to be "Former Officers" on this Form 990. Pursuant to the end of her term of service, Ms. Hausmann received gross severance compensation during the 2022 calendar year in the amount of $910,000, which has been reported on this Form 990, Schedule J, Part II, Column B(iii) as "Other Compensation". Of this $910,000 total payment, Ms. Hausmann elected to defer $19,000 to her 457(b) plan. Additionally, Mr. Lewkowski received severance payments of $199,260. Such payments were also included in Mr. Lewkowski's "Other Compensation" as reported on this Schedule J, Part II, Column B(iii) Schedule J, Line 4b, Supplemental Non-Qualified Retirement Plans: The Elliot Health System and SolutionHealth, the parent-organization of the System, maintain 457(f) deferred compensation plans. During the 2022 calendar year, the following persons received contributions to their 457(f) plans as listed below. Such contributions have been reported as "Deferred Compensation" on this Schedule J, Part II, Column C: William Baxter - $137,507; John E. Friberg, Jr - $68,414; Stephen Norton - $23,017; William Lewkowski - $28,782; Joseph Felkner - $164,925; and Brad Kreick - $199,123. Additionally, during the 2022 calendar year, the following persons received taxable distributions from their 457(f) plans in the amounts as listed below. Such distributions have been included in the amounts reported on this Schedule J, Part II, Column B(iii) as "Other Compensation": Stephen Norton - $184,383; William Lewkowski - $224,625; and Joseph Felkner - $155,050. A portion of these taxable distributions relate to and have been paid from previous tax year 457(f) plan deferrals. Accordingly, such amounts have been reported as "Prior Compensation", as shown on this Schedule J, Part II, Column F, for the named individuals as follows: Stephen Norton - $153,667; William Lewkowski - $196,159; and Joseph Felkner - $155,050. Mr. Norton, Mr. Lewkowski, and Joseph Felkner ended their terms of service with SolutionHealth during a previous tax year. Accordingly, each of these individuals have been deemed as "Former" listed persons this Form 990, Part VII and Schedule J. The Elliot Health System historically maintained a defined benefit pension plan for certain employees, the Elliot Health System Pension Plan (the Plan). Effective July 1, 2006, the Plan was amended to close the Plan to employees hired after June 30, 2006. Eligible employees hired prior to July 1, 2006, are grandfathered under the Plan, and will continue to accrue benefits as long as they remain at a participating System entity and in an eligible status. The System's funding policy is to contribute amounts to the Plan sufficient to meet minimum funding requirements set forth in the Employee Retirement Income Security Act of 1974, plus such additional amounts as might be determined to be appropriate from time to time. The Plan was intended to constitute a plan described in Section 414(k) of the Internal Revenue Code, under which benefits derived from employer contributions are based on the separate account balances of participants in addition to the defined benefits under the Plan. In calendar year 2022, no officers or other employees of Elliot Hospital received defined contributions under the now-closed 414(K) plan. Additionally, there were no defined benefit accrual adjustments for any of the Organization's listed individuals for the 2022 calendar year.
- Part I, Line 7
- The Organization has adopted an incentive pay program that provides designated management employees an opportunity to earn a designated percentage of salary based on the achievement by the Organization of a number of critical success factors. The critical success factors are established annually by the independent executive compensation committee of the Board of Trustees with assistance from an independent national compensation consulting company. The maximum potential incentive payments under the plan are considered by the compensation consultant in ensuring that management compensation is reasonable.
Part I's answers as filed. A line not listed was left unanswered; on lines 1a and 3 that means the box was not checked.
