Activities or mission (Part I)
TO PROMOTE THE SPORT OF PROFESSIONAL GOLF AND THE COMMON INTERESTS OF TOURING GOLF PROFESSIONALS.
-
THE PRINCIPAL MISSION OF PGA TOUR, INC. IS THE PROMOTION OF THE SPORT OF PROFESSIONAL GOLF AND THE COMMON INTERESTS OF THE TOURING PROFESSIONAL GOLFER AS WELL AS GROWTH OF THE GAME. THIS IS PRIMARILY ACCOMPLISHED THROUGH MANAGING AND CO-SPONSORING PROFESSIONAL GOLF TOURNAMENTS, SECURING CORPORATE SPONSORSHIP OF TOURNAMENTS AND OTHER PROGRAMS, AND SECURING TELEVISION EXPOSURE FOR ITS PROFESSIONAL GOLF TOURNAMENTS. BY MANAGING AND CO-SPONSORING FOUR PROFESSIONAL GOLF TOURNAMENT DIVISIONS (PGA TOUR, PGA TOUR CHAMPIONS, KORN FERRY TOUR, AND PGA TOUR AMERICAS - COLLECTIVELY KNOWN AS THE PGA TOUR), PGA TOUR, INC. PROVIDES OPPORTUNITIES FOR THE TOURING PROFESSIONAL GOLFER TO COMPETE AND EARN PRIZE MONEY AND BENEFITS WHILE GROWING THE GAME BY EXPOSING IT TO THE GENERAL PUBLIC THROUGH ATTENDANCE AND TELEVISION AND OTHER MEDIA ENGAGEMENT. IN 2024, THE VARIOUS TOURS COLLECTIVELY HELD 115 TOURNAMENTS. TOTAL PRIZE MONEY AND OTHER PLAYER-RELATED BENEFITS EARNED THROUGH COMPETITION BY PROFESSIONAL GOLFERS ACROSS THE VARIOUS TOURS IN 2024 EXCEEDED $975 MILLION. THESE TOURNAMENTS WERE PLAYED IN AT LEAST 35 U.S. STATES AND 16 DIFFERENT COUNTRIES IN 2024, ALLOWING PEOPLE THROUGHOUT THE WORLD THE OPPORTUNITY TO EXPERIENCE FIRST-HAND THE SPORT OF PROFESSIONAL GOLF. MEMBERS ON THE PGA TOUR REPRESENT THE WORLD'S BEST PLAYERS, HAILING FROM 28 COUNTRIES AND TERRITORIES. PGA TOUR, INC. SECURES TELEVISION COVERAGE FOR ITS TOURNAMENTS THROUGH AGREEMENTS WITH NATIONAL AND INTERNATIONAL BROADCASTERS AND CABLE CHANNELS. THE PGA TOUR HAS LONG-TERM DOMESTIC DISTRIBUTION PARTNERSHIPS FOR BROADCAST COVERAGE ON CBS, NBC, AND GOLF CHANNEL AND VIDEO STREAMING SERVICE ON ESPN+. INTERNATIONALLY, PGA TOUR COVERAGE IS AVAILABLE ACROSS 200+ COUNTRIES AND TERRITORIES IN 30 LANGUAGES VIA 44 BROADCAST AND DIGITAL PARTNERS. IN ADDITION TO TELEVISION COVERAGE, THE PGA TOUR IS EMBRACING DIGITAL MEDIA ACROSS MULTIPLE PLATFORMS, INCLUDING THE PGA TOUR APP AND A SUBSIDIARY'S WEBSITE, PGATOUR.COM. TO BRING THE PLAYERS CLOSER TO THE GENERAL PUBLIC, VOLUNTEERS, AND SPONSORS, THROUGH A SUBSIDIARY THE PGA TOUR CONTINUES TO GROW ITS PRESENCE ON SOCIAL MEDIA CHANNELS, INCLUDING YOUTUBE, FACEBOOK, INSTAGRAM (IN SPANISH, KOREAN AND JAPANESE), LINKEDIN, TIKTOK, X (IN ENGLISH, SPANISH AND JAPANESE); THE PGA TOUR CHANNEL ON FREE AD-SUPPORTED STREAMING TELEVISION (FAST) PLATFORMS SUCH AS THE ROKU CHANNEL, SAMSUNG TV PLUS, PLUTOTV, XUMO, LG CHANNELS, TUBI, AMAZON'S FREEVEE, FIRETV AND ALEXA DEVICES; AND WHATSAPP (IN ENGLISH AND SPANISH), WECHAT, WEIBO, TOUTIAO, AND DOUYIN. PGA TOUR, INC. AND THE LADIES PROFESSIONAL GOLF ASSOCIATION ("LPGA") MAINTAIN A STRATEGIC ALLIANCE DESIGNED TO FURTHER PROMOTE THE GROWTH OF PROFESSIONAL GOLF INCLUDING AREAS SUCH AS SCHEDULE COORDINATION, JOINT MARKETING, TELEVISION REPRESENTATION, DIGITAL MEDIA, AND THE DEVELOPMENT OF JOINT EVENTS INCLUDING THE ANNUAL GRANT THORNTON INVITATIONAL. THE PGA TOUR AND DP WORLD TOUR CONTINUED ITS STRATEGIC ALLIANCE, WITH THE TOURS EXPLORING ALL FACETS OF COLLABORATION. THIS COLLABORATION INCLUDES WORKING IN PARTNERSHIP ON A NUMBER OF AREAS INCLUDING GLOBAL SCHEDULING AND PLAYING OPPORTUNITIES FOR THE RESPECTIVE MEMBERSHIPS. THIS INCLUDES THE CO-SANCTIONING OF THE GENESIS SCOTTISH OPEN, TO APPEAR ON BOTH SCHEDULES, PROVIDING ACCESS TO DP WORLD TOUR MEMBERS TO TWO PGA TOUR EVENTS, AND GRANTING PGA TOUR MEMBERSHIP TO THE TOP 10 DP WORLD TOUR PLAYERS FROM THE PREVIOUS YEAR'S RACE TO DUBAI. THE MISSION OF GROWING THE GAME OF GOLF IS ENHANCED THROUGH TELEVISION, CORPORATE SPONSORSHIPS AND THE PROMOTIONAL ACTIVITIES ASSOCIATED WITH PROMOTING THE SPORT OF PROFESSIONAL GOLF. THE QUALIFIED SPONSORSHIP PAYMENTS RECEIVED BY PGA TOUR, INC., AS DEFINED IN INTERNAL REVENUE CODE SECTION 513(I), PROMOTE THE SPORT THROUGH FUNDS UTILIZED IN PART TO INCREASE PURSE AMOUNTS AND EARNINGS OPPORTUNITIES FOR PROFESSIONAL GOLFERS ON THE VARIOUS PROFESSIONAL GOLF TOURS COLLECTIVELY KNOWN AS THE PGA TOUR AND TO ACHIEVE PGA TOUR, INC.'S GOAL OF GIVING BACK TO THE COMMUNITIES THE PGA TOUR PLAYS IN, AS SET FORTH IN PART III, LINE 4B.
-
IN ADDITION TO PROMOTING AND BUILDING THE SPORT OF PROFESSIONAL GOLF, PGA TOUR, INC. IS COMMITTED TO GENERATING SUBSTANTIAL CHARITABLE CONTRIBUTIONS IN THE COMMUNITIES WHERE ITS TOURNAMENTS ARE PLAYED, EVEN THOUGH PGA TOUR, INC. IS NOT A CHARITABLE IRC SECTION 501(C)(3) ORGANIZATION. A MAJORITY OF THE TOURNAMENTS ARE OPERATED BY CHARITABLE ORGANIZATIONS THAT GIVE THE NET PROCEEDS FROM THE TOURNAMENT TO LOCAL CHARITIES. AREAS OF SUPPORT INCLUDE, BUT ARE NOT LIMITED TO, HEALTHCARE, EDUCATION, YOUTH DEVELOPMENT, DISASTER RELIEF, FOOD BANKS, MILITARY, AND ENVIRONMENT. THE PGA TOUR ALSO CONTINUES ITS 10-YEAR, $100+ MILLION COMMITMENT TO SUPPORT NONPROFIT ORGANIZATIONS THAT ADDRESS THE DISPARITIES THAT DISPROPORTIONATELY AFFECT BLACK CITIZENS AND UNDERREPRESENTED AND UNDERSERVED POPULATIONS. WITH THIS INCREASED FOCUS TO IMPROVE THE PGA TOUR'S UNDERSTANDING AND COLLABORATION WITH ITS PARTNERS AND COMMUNITIES, AT THE TIME OF FILING THIS RETURN, $174 MILLION HAS BEEN GENERATED, DRIVING IMPACT ACROSS COMMUNITIES. TO DATE, TOURNAMENTS ACROSS THE PGA TOUR HAVE GENERATED MORE THAN $4 BILLION OF TOTAL CHARITABLE DONATIONS SINCE THE FIRST $10,000 CONTRIBUTION WAS MADE IN 1938. THE PGA TOUR'S SUBSTANTIAL INVOLVEMENT IN THE CHARITABLE WORLD PROVIDES A PLATFORM FOR ITS MEMBERS TO RAISE SUBSTANTIAL CHARITABLE DOLLARS THROUGH THEIR INDIVIDUAL FOUNDATIONS AND FUNDRAISERS. FINALLY, IT SHOULD BE NOTED THAT, FROM TIME TO TIME, THE PGA TOUR MAKES CHARITABLE DONATIONS TO BONA FIDE CHARITIES AND FOUNDATIONS OPERATED FOR, BY, OR IN THE NAME OF PGA TOUR, INC. MEMBERS.
-
PGA TOUR, INC. INCLUDES, AS PART OF ITS MISSION STATEMENT, THE DEDICATION TO PROTECT THE INTEGRITY OF THE GAME OF PROFESSIONAL GOLF. THE TOURING PROFESSIONAL GOLFER HAS AN UNWAVERING ADHERENCE TO GOLF'S INHERENT VALUES, SUCH AS HONESTY, INTEGRITY, AND SPORTSMANSHIP. GOLF IS A SPORT IN WHICH PLAYERS CALL PENALTIES ON THEMSELVES, WHETHER AN INFRACTION IS VISIBLE TO OTHERS OR NOT. IT IS A SPORT IN WHICH COMPETITORS SHAKE HANDS AND CONGRATULATE ONE ANOTHER AT THE CONCLUSION OF EACH AND EVERY ROUND, TOURNAMENT OR MATCH, WITHOUT FAIL. IT IS ALSO A SPORT THAT FAITHFULLY TEACHES EACH GENERATION OF PARTICIPANTS FROM THE EARLIEST AGE THAT ITS RULES ARE UNCOMPROMISABLE. THESE ARE VALUES THAT PGA TOUR, INC.'S TOURING PROFESSIONAL GOLFERS LIVE BY AND DEMONSTRATE EVERY ROUND OF EVERY TOURNAMENT.

Compensation is as filed in Part VII: reportable pay from this organization and from related organizations, other compensation, and hours per week. The total, marked calculated, is our sum of the three dollar columns, with a blank column counted as $0; the form itself has no total. On a Form 990-EZ the columns are Part IV's instead, and on a Form 990-PF Part VIII's — compensation, contributions to benefit plans, and expense account — and the total sums those. A Schedule J breakdown is as filed: base pay, bonus, other, deferred compensation and nontaxable benefits from this organization, with any from related organizations beside each, and the filer's own total. It is shown with the Part VII listing of the same name on the same return. The form gives no key between the two, so that pairing is ours, and is marked matched by us.

The filer's explanations (Part III)
- Schedule J, Part II, Player Compensation
- COMPENSATION REPORTED FOR PLAYER DIRECTORS IN PART VII AND SCHEDULE J OF FORM 990 REPRESENTS COMPENSATION EARNED IN THE CALENDAR YEAR BY EACH PLAYER FOR PARTICIPATION IN VARIOUS GOLF TOURNAMENTS, EVENTS, OR PROGRAMS. OTHER THAN REIMBURSEMENT FOR DOCUMENTED EXPENSES TO ATTEND BOARD MEETINGS, INDIVIDUALS DO NOT RECEIVE COMPENSATION FOR THEIR SERVICE TO THE PGA TOUR AS A PLAYER DIRECTOR.
- Schedule J, Part I, Line 1A
- IN SOME CASES, CERTAIN INDIVIDUALS LISTED ON PART VII AND SCHEDULE J MAY USE FIRST-CLASS OR CHARTER TRAVEL (I.E., A CORPORATE PLANE OF A TOUR SUBSIDIARY AND/OR A THIRD PARTY) FOR BUSINESS OR PERSONAL USE BASED UPON SECURITY CONCERNS, PRIVACY CONCERNS, TIMING CONCERNS, AND LENGTH OF TRIP. THE TOUR'S GOVERNING BOARD REQUIRES THAT THE COMMISSIONER USE CHARTER FLIGHTS FOR ALL TRAVEL, BOTH BUSINESS AND PERSONAL, BECAUSE OF SECURITY CONCERNS, PRIVACY CONCERNS, AND TIMING CONCERNS. THIS PROVISION OF FIRST-CLASS OR CHARTER TRAVEL IS IN ACCORDANCE WITH WRITTEN COMPANY POLICY AND, WHEN REQUIRED (E.G., PERSONAL USE), THE APPROPRIATE VALUE IS CALCULATED AND REPORTED AS TAXABLE TO EACH APPLICABLE RECIPIENT IN ACCORDANCE WITH THE APPLICABLE TAX RULES. PERSONAL USE OF FIRST-CLASS OR CHARTER TRAVEL, INCLUDING THE PERSONAL USE OF A CORPORATE PLANE OF A TOUR SUBSIDIARY AND/OR A THIRD PARTY, IS REPORTED AS TAXABLE WAGES ON FORM 990, SCHEDULE J, PART II, COLUMN (b)(iii). PGA TOUR, INC. PERMITS COMPANION TRAVEL FOR EMPLOYEES REPORTED ON PART VII AND SCHEDULE J IN LIMITED CASES, BASED ON CERTAIN FACTS AND CIRCUMSTANCES, WHERE SUCH TRAVEL ENHANCES AND PROMOTES TOUR'S BUSINESS. PGA TOUR, INC.'S PROVISION OF TRAVEL FOR COMPANIONS IS IN ACCORDANCE WITH WRITTEN COMPANY POLICY AND, WHEN REQUIRED (E.G., PERSONAL USE), THE APPROPRIATE VALUE IS CALCULATED AND REPORTED AS TAXABLE TO EACH APPLICABLE RECIPIENT IN ACCORDANCE WITH THE APPLICABLE TAX RULES. PERSONAL USE OF TRAVEL FOR COMPANIONS IS REPORTED AS TAXABLE WAGES ON FORM 990, SCHEDULE J, PART II, COLUMN (b)(iii). ALL EMPLOYEES REPORTED ON PART VII AND SCHEDULE J RECEIVE ACCESS TO HEALTH OR SOCIAL CLUBS FOR BUSINESS AND/OR PERSONAL USE. THIS PROVISION OF ACCESS TO HEALTH OR SOCIAL CLUBS IS IN ACCORDANCE WITH WRITTEN COMPANY POLICY AND, WHEN REQUIRED (E.G., PERSONAL USE), THE APPROPRIATE VALUE IS CALCULATED AND REPORTED AS TAXABLE TO EACH APPLICABLE RECIPIENT IN ACCORDANCE WITH THE APPLICABLE TAX RULES. PERSONAL USE OF HEALTH OR SOCIAL CLUBS IS REPORTED AS TAXABLE WAGES ON FORM 990, SCHEDULE J, PART II, COLUMN (b)(iii). IN LIMITED CASES AND IN CONJUNCTION WITH TOURNAMENT EVENTS THAT PROVIDE NON-CASH BENEFITS, TAX GROSS-UP PAYMENTS ARE PROVIDED.
- Schedule J, Part I, Line 4A
- PGA TOUR, INC. AND ITS RELATED ORGANIZATIONS MADE SEVERANCE PAYMENTS TO THE FOLLOWING INDIVIDUALS REPORTED ON PART VII AND SCHEDULE J OF FORM 990 IN CALENDAR YEAR 2024: RONALD E. PRICE 3,602,825
- Schedule J, Part I, Line 4B
- CERTAIN EXECUTIVES PARTICIPATE IN A SUPPLEMENTAL NONQUALIFIED RETIREMENT PLAN. THE SUPPLEMENTAL NONQUALIFIED RETIREMENT PLAN IS A PLAN OF A RELATED ORGANIZATION AND NOT PGA TOUR, INC. DURING EMPLOYMENT, ACTUARIAL CHANGES ARE REPORTED BY PARTICIPANT AS OTHER WAGES IN PART II COLUMN (B)(III) OF SCHEDULE J. WHEN DISTRIBUTIONS ARE MADE AFTER RETIREMENT, THE REPORTABLE AMOUNT IS THE EXCESS OF THE TOTAL PAYMENT RECEIVED LESS ACTUARIAL AMOUNTS PREVIOUSLY REPORTED. ACTUARIAL AMOUNTS REPORTED AS PART OF THE PLAN TOTALED $7,269,021 IN 2024. THE PLAN PARTICIPANTS WERE RICHARD D. ANDERSON, LEONARD BROWN, LELAND T. DENNIS, ALLISON W. KELLER, JOSEPH W. MONAHAN, BRIAN M. OLIVER, RONALD E. PRICE, AND NEERA M. SHETTY.
- Schedule J, Part I, Line 4C
- BASED ON PAST COMPETITIVE PERFORMANCE, RECENT PERFORMANCE, AND FUTURE PARTICIPATION AND SERVICES, PLAYER DIRECTORS REPORTED IN PART VII, SECTION A, AND SCHEDULE J, PART II, WERE GRANTED UNVESTED EQUITY UNITS IN PGA TOUR ENTERPRISES, LLC, A MAJORITY-OWNED SUBSIDIARY OF PGA TOUR, INC., THAT VEST OVER A PERIOD OF TIME BEGINNING IN 2028 AND SUBSEQUENT YEARS. IN ACCORDANCE WITH APPLICABLE FEDERAL INCOME TAX RULES AND REGULATIONS, THE PRO-RATED TAX VALUE GRANTED TO PLAYER DIRECTORS AND REPORTED ON PGA TOUR, INC.'S FORM 990 IS $27,062,913 IN 2024, WHICH SHALL VEST IN A FUTURE YEAR.
- Schedule J, Part II, Column (B)
- CERTAIN INDIVIDUALS HAVE AMOUNTS REPORTED IN PART VII, SECTION A, COLUMN (E) AND SCHEDULE J, PART II, COLUMN (B) THAT DIFFER FROM AMOUNTS REPORTED ON THEIR FORM W-2. THIS RESULT WAS DUE TO A CHANGE IN RETIREMENT TIMING WHICH AFFECTED THE VALUE OF RETIREMENT BENEFITS AND IT DOES NOT REPRESENT AN ACTUAL ACCRUAL OF BENEFITS UNDER THE SUPPLEMENTAL NONQUALIFIED RETIREMENT PLAN. BECAUSE THIS VARIANCE WAS A RESULT OF RETIREMENT TIMING, IT IS NOT EXPECTED TO OCCUR ON AN ONGOING BASIS. IN 2024, THE INDIVIDUAL THAT HAS AMOUNTS REPORTED IN PART VII AND SCHEDULE J THAT DIFFER FROM AMOUNTS REPORTED ON FORM W-2 IS RONALD E. PRICE.
Part I's answers as filed. A line not listed was left unanswered; on lines 1a and 3 that means the box was not checked.
