Compensation is as filed in Part VII: reportable pay from this organization and from related organizations, other compensation, and hours per week. The total, marked calculated, is our sum of the three dollar columns, with a blank column counted as $0; the form itself has no total. On a Form 990-EZ the columns are Part IV's instead, and on a Form 990-PF Part VIII's — compensation, contributions to benefit plans, and expense account — and the total sums those. A Schedule J breakdown is as filed: base pay, bonus, other, deferred compensation and nontaxable benefits from this organization, with any from related organizations beside each, and the filer's own total. It is shown with the Part VII listing of the same name on the same return. The form gives no key between the two, so that pairing is ours, and is marked matched by us.

Jonathan Easton Harvey, MD, who served as the Organization's Chief Medical Officer, received severance payments of $370,947. These payments were included in Dr. Harvey's 2024 Form W-2, Box 5 wages, and the amounts are included in Dr. Harvey's total Other Compensation as reported on this 2024 Form 990, Schedule J, Page 2, Part II, Line B(iii). Schedule J, Line 4b, Supplemental Non-Qualified Retirement Plans: Martin's Point Health Care, Inc. (the "Company"), established a Supplemental Executive Retirement Plan (the "Plan"), effective as of January 1, 2020, in order to help the Company recruit and retain highly qualified executives and reward them for their contributions to the success of the Company. The Plan is intended to constitute an unfunded plan maintained primarily for the purpose of providing deferred compensation to a select group of management or highly compensated employees, within the meaning of Sections 201(2), 301(a)(3), and 401(a)(1) of Employee Retirement Income Security Act of 1974, as amended ("ERISA"). The Plan is intended to be exempt from Section 409A of the Internal Revenue Code of 1986, as amended (the "Code"), by reason of the short-term deferral exception described in Treasury Regulations Section 1.409A-1(b)(4). The Plan shall be administered in a manner that is consistent with such intent and consistent with the requirements of Section 457(f) of the Code regarding the taxation of deferred compensation. Non-qualified plan compensation was accrued in 2023 and paid out as taxable compensation in 2024. Payments were reported on the Organization's 2024 Schedule J, Part II as adjusted for the non-qualified plan. Distributions from the 457(f) plan that occurred in 2024 and were considered to be taxable income are included within the amounts reported on this Form 990, Schedule J, Part II, as Other Compensation in Column b(iii). Furthermore, such amounts that relate to deferred compensation in past tax years are all listed on this Form 990, Part II, Column F. In accordance with IRS Guidance and Instructions, taxable payments and distributions made from the plan accrued during 2024 and made in 2025 will be included in the applicable individuals' compensation as reported on the 2025 Schedule J.
