Compensation is as filed in Part VII: reportable pay from this organization and from related organizations, other compensation, and hours per week. The total, marked calculated, is our sum of the three dollar columns, with a blank column counted as $0; the form itself has no total. On a Form 990-EZ the columns are Part IV's instead — compensation, contributions to benefit plans, and expense account — and the total sums those. A Schedule J breakdown is as filed: base pay, bonus, other, deferred compensation and nontaxable benefits from this organization, with any from related organizations beside each, and the filer's own total. It is shown with the Part VII listing of the same name on the same return. The form gives no key between the two, so that pairing is ours, and is marked matched by us.

The filer's explanations (Part III)

PART I, LINE 3
THE ORGANIZATION DOES NOT PAY COMPENSATION TO ANY INDIVIDUAL. HOWEVER, THE COMPENSATION FOR THE ORGANIZATION'S EXECUTIVE DIRECTOR IS SET AND PAID BY A RELATED ORGANIZATION. COMPENSATION IS SET BY THE RELATED ORGANIZATION'S HUMAN RESOURCE DEPARTMENT USING THIRD-PARTY NATIONAL SURVEY DATA AND BY COMPARING SIMILAR JOBS IN THE EXTERNAL MARKET WHILE TAKING INTO ACCOUNT THE EMPLOYEE'S EXPERIENCE LEVEL.
PART I, LINE 4B
All officers and directors listed on Part VII are eligible to participate in Valero Energy Corporation's (a related organization) supplemental nonqualified retirement plan. The plan permits eligible employees to defer a portion of their salary and/or bonus until separation (i.e. retirement or termination of employment). Under the plan, each year eligible employees are permitted to elect to defer up to 30 percent of their salary and/or 50 percent of their cash bonuses to be earned for services performed during the following year. All amounts credited under the plan are immediately 100 percent vested. No amounts were distributed to non-volunteer officers or directors in the current year.
PART I, LINE 4C
All officers and directors listed on Part VII are granted restricted stock in Valero Energy Corporation, a related organization. The restricted stock vests in accordance with individual written agreements between the participants and Valero Energy Corporation. Typically, vesting occurs in equal annual installments over a period of three years, beginning one year after the date of grant. The fair value of each restricted stock share is equal to the market value price of Valero Energy Corporation common stock. Disclosed below are the current year vested amounts for officers and directors who do not serve as volunteers of Valero Energy Foundation. Seymour Battle $299,634 Kari Waclawczyk $ 36,501 Some officers and directors listed on Part VII may also be entitled to receive performance awards from Valero Energy Corporation. Performance awards are issued to certain key employees of Valero Energy Corporation and represent the right to receive shares of common stock upon the achievement of an objective performance measure related to their employment with Valero Energy Corporation. No amounts were awarded to non-volunteer officers or directors during the current year.

Part I's answers as filed. A line not listed was left unanswered; on lines 1a and 3 that means the box was not checked.
