DETAILED BELOW ARE SEVERAL ONE-TIME PAYMENTS TO CERTAIN EXECUTIVES RELATED TO VARIOUS RETIREMENT, RETENTION AND LONG-TERM INCENTIVE PLANS. THESE PLANS AND PAYMENTS ARE NOT A ROUTINE PART OF THE TYPICAL MEDSTAR EXECUTIVE COMPENSATION PROGRAM, AND SUPPORTED IMPORTANT OBJECTIVES OF OUR ORGANIZATION. MR. SAMET'S OTHER REPORTABLE COMPENSATION IN PART II, COLUMN (B)(III) INCLUDES A CASH LUMP-SUM PAYMENT OF $79,000, WHICH REPRESENTS THE ANNUAL PREMIUM FOR A SPLIT DOLLAR LIFE INSURANCE POLICY. WILLIAM GAYNE'S COMPENSATION IS FOR SERVICES PROVIDED AS CFO TO BOTH MEDSTAR WASHINGTON HOSPITAL CENTER AND MEDSTAR HEALTH RESEARCH INSTITUTE.
