Texas Health Physicians Group (THPG) is a member of Texas Health Resources (THR) a large healthcare system located in North Texas. THPG has a provider network which is made up of more than 1,100 primary care physicians, specialists, hospitalists, and advanced practice providers dedicated to providing safe, quality care for patients. The THPG provider network, along with the hospital system of THR allows the communities in North Texas the opportunity for access to unparalleled healthcare coverage. THPG physicians begin the healthcare journey by caring for the community before they ever become hospital patients. With more than 240 physician offices covering approximately 6,500 square miles, THPG physicians are able to provide care to patients across North Texas during every stage of life. Through providing care outside the acute care setting, THPG physicians are able to reach out to people who are otherwise healthy and begin engaging their lifestyles; and for patients with modest illnesses, begin engaging prevention measures. There were approximately 1,800,000 office visits in these physician offices. In addition to physician offices, THPG provides hospital physician services to hospitals within the THR system. These hospital physicians promote access and provide care to patients who require admission to THR hospitals. During 2022, THPG Physicians recorded approximately 658,000 inpatient visits for patients within THR facilities. THPG providers also performed 202,700 virtual visits in 2022. THPG has clinical affiliations with CVS and Dispatch Health in North Texas to provide consumers greater access to quality primary care that is convenient and affordable. THPG's physicians also play a large role in the leadership of care for each of the THR facilities. Positions held include medical staff leadership, service line program leadership, and medical directorships. THPG is also represented heavily through provider participation in THR ad hoc committees that initiate and implement health program initiatives. THPG providers and office staff are involved in community outreach in many areas. They also participate in various health fairs and free clinics in the communities they serve.

Compensation is as filed in Part VII: reportable pay from this organization and from related organizations, other compensation, and hours per week. The total, marked calculated, is our sum of the three dollar columns, with a blank column counted as $0; the form itself has no total. On a Form 990-EZ the columns are Part IV's instead, and on a Form 990-PF Part VIII's — compensation, contributions to benefit plans, and expense account — and the total sums those. A Schedule J breakdown is as filed: base pay, bonus, other, deferred compensation and nontaxable benefits from this organization, with any from related organizations beside each, and the filer's own total. It is shown with the Part VII listing of the same name on the same return. The form gives no key between the two, so that pairing is ours, and is marked matched by us.

The filer's explanations (Part III)
- Schedule J, Part I, Line 1a- Discretionary Spending Account
- Each executive at the vice president level and above receives a perk allowance and flexible benefit allowance which is included in the taxable compensation of the employee. The perk allowance covers costs such as business use of their personal vehicles in lieu of reimbursement for auto mileage. The flexible benefit allowance can be used to purchase executive benefits on an after-tax basis.
- Schedule J, Part I, Line 3 - CEO Compensation
- The organization relied on Texas Health Resources (THR), a related 501(c)(3) organization with centralized compensation professionals to use the following methods to establish the compensation of the organization's President. * The Governance committee (which includes independent persons) performs reviews and makes recommendations to the THR Board to approve the overall payment philosophy. * An Independent compensation consultant may be hired. * Compensation surveys or studies are utilized. * Board or Governance committee approves the executive compensation parameters within the executive compensation philosophy.
- Schedule J, Part I, Line 4b - Nonqualified Retirement Plan
- Participation in the THR plans is made available to a select group of management and highly compensated employees who are providing services in key positions of management and/or responsibility and who are determined by the THR Board of Trustees. SERP: For the active restoration account (Account balances after 12/31/2009) SERP benefits vest while the participant is employed if the participant: * Reaches age 65 * Becomes disabled or dies, * Reaches the following years of service: 2 Years - 25%; 3 Years - 50%; 4 Years - 75% and 5 or more years - 100% Participants must be employed on Dec 1 to qualify for the current year's SERP Benefit unless separation is due to death, disability, retirement (Age 65) or early retirement (separation from service at or after age 55 with 75 years of combined age and service with the system.) SERP benefits are calculated each Dec 1. Vested balances are taxed to the employee and the net balances begin accruing earnings. Vested balances are paid in a cash lump sum within a 90-day period commencing on the earlier of death, disability, or separation from service. The deferred portion is included in Schedule J, Part II, column C. In frozen restoration accounts (account balances prior to 1/1/2010), the participant or beneficiary shall be taxed on his or her vested SERP benefits upon the earliest of: * Continued employment in THR until age 68 * Termination of employment for disability or death * Involuntary termination of employment without reasonable cause; or * Satisfying a 24 month non-compete period following his/her termination of employment. Payment follows the before mentioned events, except in the case of involuntary separation when the participant must wait 24 months to receive the previously taxed benefit. LTIP: The Long Term Incentive Plan covers 2, 3 or 4 years. Payouts are made over 2, 3, or 4 years after key performance goals are met. Benefits vest if they are employed at the end of the year the payout is made. Payments can also be made if separation is due to death, disability, retirement (Age 65) or early retirement (separation from service at or after age 55 with 75 years of combined age and service with the system.) In the case of retirement and early retirement, CEO approval must be obtained and a non-compete must be satisfied prior to the end of year payout. Retention: A retention agreement may be offered to an executive in a key position or based on succession planning needs of the system. The length of the retention period will be dependent upon the needs of the organization to retain the key executive. Payments are made within 2 months following the end of the retention period. Payouts to the following employees were made during the year for all the plans listed above. The amounts below are included in the amount reported on Sch J, Part II, Column B(iii) and Column (F).
