Compensation is as filed in Part VII: reportable pay from this organization and from related organizations, other compensation, and hours per week. The total, marked calculated, is our sum of the three dollar columns, with a blank column counted as $0; the form itself has no total. On a Form 990-EZ the columns are Part IV's instead, and on a Form 990-PF Part VIII's — compensation, contributions to benefit plans, and expense account — and the total sums those. A Schedule J breakdown is as filed: base pay, bonus, other, deferred compensation and nontaxable benefits from this organization, with any from related organizations beside each, and the filer's own total. It is shown with the Part VII listing of the same name on the same return. The form gives no key between the two, so that pairing is ours, and is marked matched by us.

The filer's explanations (Part III)

Schedule J, Part I, Line 1a Tax indemnification and gross-up payments
The organization's officers and certain key employees are offered life insurance and long-term disability benefits. A transition bonus is paid to certain executives that no longer receive a gross-up payment to cover the tax impacts for life insurance and long-term disability.
Schedule J, Part I, Line 1a Health or social club dues or initiation fees
ALL EDWARD HEALTH VENTURES EMPLOYEES ARE OFFERED A MEMBERSHIP AT THE EDWARD HEALTH & FITNESS CENTER, AN AFFILIATE OF EDWARD-ELMHURST HEALTHCARE, AS A TAXABLE EMPLOYEE BENEFIT. THE EDWARD HEALTH VENTURES PRESIDENT IS ALSO PROVIDED THIS BENEFIT FOR THEIR SPOUSE AND CHILDREN, ALSO AS A TAXABLE BENEFIT. THE VALUE OF THIS BENEFIT IS DETERMINED BASED UPON THE FAIR MARKET VALUE OF THESE MEMBERSHIPS, WHICH IS IN TURN DETERMINED BASED UPON THE ACTUAL AMOUNT THAT THE EDWARD HEALTH & FITNESS CENTER CHARGES TO OTHER CORPORATE CUSTOMERS.
Schedule J, Part I, Line 3 Arrangement used to establish the top management official's compensation
A detailed compensation review of the top executives, including the Chief Executive Officer, is conducted annually. Market data is collected and assessed by an external independent compensation consultant who specializes in compensation consulting within the healthcare industry. The work product from this study is reviewed separately with Endeavor Health legal counsel. Market data for base and variable compensation is assessed annually for integrated delivery systems and academic medical centers that are similar in size and complexity. The market assessment includes assessing job content in order to make appropriate market data comparisons. Specific recommendations are then reviewed, discussed and approved as appropriate with the Endeavor Health Compensation Committee, in session with legal counsel present, in advance of implementation.
Schedule J, Part I, Line 4a Severance or change-of-control payment
The following individuals received severance payments based upon mutually agreed-upon separation agreement entered into with the organization: Chris Mollet - $444,092 Daniel Sullivan - $485,197 Mary Lou Mastro - $2,761,436
Schedule J, Part I, Line 4b Supplemental nonqualified retirement plan
INDIVIDUALS WHO HAVE THE TITLE OF VICE PRESIDENT OR HIGHER ARE ELIGIBLE TO PARTICIPATE IN A SUPPLEMENTAL EXECUTIVE RETIREMENT PLAN (SERP); ANY ELIGIBLE PARTICIPANTS MUST BE APPROVED BY THE EDWARD-ELMHURST HEALTHCARE BOARD OF TRUSTEES. THE SERP WAS ESTABLISHED TO RECOGNIZE THE VALUABLE CONTRIBUTIONS THAT EACH OF THE PARTICIPANTS MAKES TO THE OPERATIONS OF EDWARD-ELMHURST HEALTHCARE AND TO REWARD CERTAIN EXECUTIVE EMPLOYEES FOR THEIR LONG-TERM SERVICE AND COMMITMENT TO EDWARD-ELMHURST HEALTHCARE. THE SERP IS DESIGNED TO SUPPLEMENT THESE PARTICIPANTS' INCOME IF THEY REMAIN WITH EDWARD-ELMHURST HEALTHCARE UNTIL AGE 65. IN EXCHANGE FOR THIS LONG-TERM SERVICE, EDWARD-ELMHURST HEALTHCARE WANTS TO SUPPLEMENT THESE PARTICIPANTS' RETIREMENT INCOME WITH ADDITIONAL ANNUAL COMPENSATION THAT IS INVESTED IN AN ANNUITY CONTRACT OR A LIFE INSURANCE VEHICLE; CONTRIBUTIONS VEST AFTER FIVE YEARS. The following individuals participated in a supplemental nonqualified retirement plan and below are the increases to the plan balances during 2023: Katie McGovern - $56,227 Joseph Dant - $110,202 Chris Mollet - $134,298 Daniel Sullivan - $130,590 Denise Chamberlain - $129,354 Gerald P Gallagher - $1,707,569 Douglas D Welday - $77,789 The following individuals received payments from a supplemental nonqualified retirement plan reported as taxable compensation: Chris Mollet - $134,298 Daniel Sullivan - $130,590 Denise Chamberlain - $583,558 Joseph Dant - $158,850
Schedule J, Part I, Line 7 Non-fixed payments
SCHEDULE J, PART 1, LINE 7 IS ANSWERED YES BECAUSE CERTAIN INDIVIDUALS, WHOSE SALARY AND BENEFITS ARE PAID BY THE REPORTING ORGANIZATION OR A RELATED ORGANIZATION, RECEIVED A NONFIXED PAYMENT (BONUS) DURING THE YEAR. THE NON-FIXED PAYMENTS ARE INCLUDED IN SCHEDULE J, PART II, COLUMN B(II) AS BONUSES. THE BONUS AMOUNTS DETERMINED ARE BASED ON A FIXED PERCENTAGE OF BASE COMPENSATION, HOWEVER THEY ARE DISCRETIONARY IN NATURE, IN THAT DISCRETION IS GIVEN AS TO WHETHER OR NOT A BONUS WILL BE PAID FOR THE REPORTING PERIOD.

Part I's answers as filed. A line not listed was left unanswered; on lines 1a and 3 that means the box was not checked.
