Compensation is as filed in Part VII: reportable pay from this organization and from related organizations, other compensation, and hours per week. The total, marked calculated, is our sum of the three dollar columns, with a blank column counted as $0; the form itself has no total. On a Form 990-EZ the columns are Part IV's instead, and on a Form 990-PF Part VIII's — compensation, contributions to benefit plans, and expense account — and the total sums those. A Schedule J breakdown is as filed: base pay, bonus, other, deferred compensation and nontaxable benefits from this organization, with any from related organizations beside each, and the filer's own total. It is shown with the Part VII listing of the same name on the same return. The form gives no key between the two, so that pairing is ours, and is marked matched by us.

The filer's explanations (Part III)

Part I, Line 3
The individual who serves as the President of the filing organization is compensated by a subsidiary of Adventist Health System Sunbelt Healthcare Corporation (AHSSHC), the top-tier parent of the filing organization. Compensation and benefits provided to this individual are determined by AHSSHC based on external compensation surveys and local comparable compensation data.
Part I, Line 4b
Executives serving on the filing organization's Board of Directors were compensated by Adventist Health System Sunbelt Healthcare Corporation during the period from August 1 to December 31, 2023. Compensation paid by Adventist Health System Sunbelt Healthcare Corporation (AHSSHC or AdventHealth): Board members of the filing organization, R. Dodds, D. Enderson, T. Folkenberg, M. Goebel, J. Pittman, I. Sendros, and E. Shadle, were compensated by and on the payroll of AHSSSHC during the period of August 1 to December 31, 2023. AHSSHC is the parent organization of a healthcare system known as AdventHealth and is the top-tier sole member of the filing organization. Board member B. Spenst was also compensated by AHSSHC for all of calendar 2023. AdventHealth is exempt from federal income tax under Section 501(c)(3) of the Internal Revenue Code. In recognition of the contribution that each executive makes to the success of AdventHealth, AdventHealth provides supplemental executive retirement benefit plans to eligible executives. As the supplemental executive retirement benefit plans were updated in 2020 and certain individuals still participate as grand-fathered participants in certain plans, the narrative below discusses all plans in which there were any participants in 2023. The SERP III plan effectively replaces the prior SERP II plan, the Executive Flex Benefit Program Plan, and the Senior Executive Death Benefit Plan for qualified executives except for certain grandfathered executive employees. SERP III Plan: The SERP III plan provides eligible executives a percentage of their base pay, which is credited to a deferred compensation account. The plan also provides for compensation deferral and selection of life insurance coverage and long-term care insurance. To be eligible to participate in the SERP III plan, executives must be on the AHSSHC corporate payroll and be either a CEO of an AdventHealth entity, an AHSSHC Vice President (VP) or VP of an AdventHealth entity with a base salary of at least $330,000 in 2023 (adjusted annually by the same percentage as IRC Section 401(a)(17) limit increases), or other leader specifically approved by the AdventHealth President. Eligible executives do not include grandfathered executives, meaning those executives who would satisfy all the eligibility requirements of the SERP II plan prior to Dec 31, 2027, had the plan not been amended and restated as of Jan. 1, 2020. Contribution credits will be established and maintained by class year accounts for each participant using tiered contribution credit percentages of annual base compensation. Contribution credit percentages range between 15% and 19% of base compensation. SERP III provides for a class year vesting and payment schedule (7 years for each class year) with respect to amounts accumulated in the executive's deferred compensation account. Upon attainment of a normal retirement age (age 62), or upon certain other circumstances as defined in the SERP III plan document, all deferred amounts are paid immediately to the participant. For any executives working beyond the normal retirement age, future employer contributions will be made quarterly from SERP III directly to the participant as a taxable cash bonus. SERP III SERP III Contr. Distr.* Rick Dodds $ 25,260 $ 0 Dan Enderson $ 56,180 $ 0 Todd Folkenberg $ 27,260 $ 0 Michael Goebel $ 26,792 $ 26,792 Jeremy Pittman $ 20,322 $ 0 Isaac Sendros $ 49,615 $ 0 Brett Spenst $105,231 $105,231 * Including Investment Earnings
PART VII, SECTION A, LINE 5
The President of the filing organization, Deanna Gayle Pottle, was compensated by Centura Health Corporation (CHC), an unrelated organization, for the month of July, 2023 for services rendered to the filing organization. Prior to July 31, 2023, CHC was related to Portercare Adventist Health System (PAHS). The filing organization is the philanthropic and fund-raising organization that operates in support of PAHS. The compensation paid to the President by CHC for July, 2023 is disclosed on Part VII, Section A in columns D and F, and on Schedule J on row (i).

Part I's answers as filed. A line not listed was left unanswered; on lines 1a and 3 that means the box was not checked.
