TRINITY HEALTH CORPORATION USED THE FOLLOWING METHODS TO ESTABLISH THE COMPENSATION OF TRINITY HEALTH MID-ATLANTIC MEDICAL GROUP'S CEO: - COMPENSATION COMMITTEE - INDEPENDENT COMPENSATION CONSULTANT - FORM 990 OF OTHER ORGANIZATIONS - WRITTEN EMPLOYMENT CONTRACT - COMPENSATION SURVEY OR STUDY, AND - APPROVAL BY THE BOARD OR COMPENSATION COMMITTEE

THE FOLLOWING INDIVIDUAL RECEIVED SEVERANCE PAYMENTS IN CALENDAR 2023. THIS AMOUNT IS INCLUDED IN COLUMN B(III) OF SCHEDULE J, PART II: LARRY BRILLIANT, MD - $291,543 ANTHONY FANELLI - $53,788 AMIT POWAR - $20,500 COLUMN F OF SCHEDULE J, PART II INCLUDES THE PORTION OF THIS AMOUNT THAT WAS REPORTED AS DEFERRED COMPENSATION IN PRIOR YEARS. IN ADDITION, COLUMN C, PART II INCLUDES THE FOLLOWING SEVERANCE AMOUNTS, WHICH WERE UNPAID AS 12/31/23: ANTHONY FANELLI - $239,056 (PAID IN 2024) AMIT POWAR - $392,663 (PAID IN 2024) THE FOLLOWING ARE PARTICIPANTS IN A TRINITY HEALTH SUPPLEMENTAL EXECUTIVE RETIREMENT PLAN (SERP) IN 2023. THE PLAN PROVIDES RETIREMENT BENEFITS TO CERTAIN TRINITY HEALTH EXECUTIVES SUBJECT TO MEETING SPECIFIED VESTING AND EMPLOYMENT DATE REQUIREMENTS. PARTICIPANTS' VESTED BENEFITS WERE PAID OUT IN 2023, AND THEIR NON-VESTED BENEFITS FOR 2023 WERE ACCRUED. THE FOLLOWING PAYOUT FOR 2023 FOR THE PLAN IS INCLUDED IN COLUMN B(III) OF SCHEDULE J, PART II: LARRY BRILLIANT - $195,855 JOHN CARUSO - $38,349 CATHERINE MIKUS - $151,510 JULIE WASHINGTON - $101,764 JAMES WOODWARD - $194,250 COLUMN F OF SCHEDULE J, PART II INCLUDES THE PORTION OF THESE AMOUNTS THAT WERE REPORTED AS DEFERRED COMPENSATION IN PRIOR YEARS. THE FOLLOWING ACCRUAL FOR 2023 IS INCLUDED IN COLUMN C OF SCHEDULE J, PART II: JULIE WASHINGTON - $208,600 THE FOLLOWING ARE PARTICIPANTS IN A TRINITY HEALTH RESTORATION PLAN.
